Objectives

The objective of the discipline is to develop the subject of Corporate Governance, an issue that has been gaining growing importance within Corporate Economics in general and Corporate Finance in particular, as well as to deal with the different aspects and imensions giving form to this new academic discipline.
Real world corporate governance cases will be studied and a systematic comparison will be made between the praxis of corporate governance and the concrete situations of corporate success and failure.

Learning outcomes and competences

Students are expected to obtain an effective understanding of the corporate governance problem, in all its implications, and also to exercise a capability for critical analysis of the real world corporate governance solutions.

Teaching methods and learning activities

The tuition method consists in a combination of theoretically based tuition with the critical analysis of decision-making problems and situations, and the study of real world cases, but at national and international level.
The direct participation of students in the classroon is encouraged. Moreover, the class is organized into working groups, each one of which must submit an applied research work on a subject that will be proposed to tham.
The program of the discipline will exten through seven lectures divided in two parts. Each lecture will be object of a summary text and of an indication of specific readings.
