1st semester: introduction to the basic notions of Portuguese Commercial Law, namely banking contracts, the enterprise, insolvency and enterprise recovery, industrial property and bill of exchanges.
2nd semester: introduction to the basic notions of the Portuguese Company Law.

Summary: 1st semester: Commercial acts and merchants: notion, regime and statute. Commercial sale contract. Credit institution and banking contracts: loan, overdraft, factoring and leasing. Enterprise: notion and elements; sale and lease of enterprises; Insolvency: requirements, proceedings and effects; Enterprise recovery. Trade signs, specially marks: constitution and regime. Bill of exchange and cheque: notion and regime; formal requirements; general characters; expiration, payment and protest.
Summary: 2nd semester: Notion and legal types of companies. Incorporation. Memorandum and articles of association. Shareholders' agreements. Corporate personality. Shareholders' rights and duties. Share capital maintenance and reserves. Profits. Meetings and resolutions. Management and agency.
