Objectives

1st semester: introduction to the basic notions of commercial Portuguese law, namely banking contracts, the enterprise, insolvency and enterprise recovery, industrial property, bill of exchanges

2nd semester:  to supply a first contact with the main subjects of the Portuguese company law.

Summary: 1st semester: Commercial acts and merchants: notion, regime and statute. Commercial sale contract. Credit institution and banking contracts, loan, overdraft, factoring, leasing. Enterprise: notion and elements; sale and lease of enterprise. Insolvency: requirements, proceedings and effects. Enterprise recovery, recovery process. Trade signs: specially marks: constitution and regime. Bill of exchange and cheque: notion and regime; formal requirements; general characters; expiration, payment and protest; the penal regime of the cheque.

Summary: 2nd semester: Notion and legal types of commercial companies. Formation of a company. Memorandum and articles of association. Corporate personality. Corporate transactions. Capital and reserves. Profits and dividends. General meetings. Management and control.
