Objectives

1st semester: to supply a first contact with the basic notions of commercial Portuguese law, namely in the ambit of commercial contracts, the enterprise, industrial property, bill of exchanges and insolvency law

2nd semester:  to supply a first contact with the main subjects of the portuguese company law.

Summary: 1st semester: Commercial acts and the business men: notion, regime and statute. Commercial contracts. Enterprise: notion and elements; sale and lease of enterprise. Insolvency: requirements, proceedings and effects. Enterprise recovery. Trade signs: specially marks: constitution and regimen. Bill of exchange and cheque: notion and regime; formal requirements; general characters; expiration, payment and protest; the penal regime of the cheque.

Summary: 2nd semester: Notion and legal types of commercial companies. Formation of a company. Memorandum and articles of association. Corporate personality. Corporate transactions. Capital and reserves. Profits and dividends. General meetings. Management and control. Corporate insolvency
